About us:

STADA Group is growing with organic and Mergers & Acquisitions (M&A) growth. M&A is important for us, so we have internal team responsible for those activities. To avoid situation the M&A deal is not justifying business expectation you need to involve IT M&A team from the beginning.

IT M&A team is working closely with all functions (e.g., Finance, Legal, TechOps, Marketing, HR…).

There are two major M&A activities:

1. Due Diligence

Due Diligence

IT M&A role is to do proper risk assessment.

Develop and align IT integration strategy together with business

Define One Face to Customer (OF2C) strategy is STADA is already active in the respective market

Estimate IT integration costs and IT integration time

Objective is to get precise definition of target operating model and translate to future IT setup.

During this process we need to avoid unplanned integration cost.

Analyzing IT of potential targets, identify risks, blueprint for future mode of operations & calculate respective costs and timeline.

IT team is focusing on following IT elements during risk assessment:

• Application landscape
• Infrastructure landscape
• IT Security
• IT Organization
• IT Contracts
• IT Strategy, Budget & Plansv

Integration

Integration activities are focusing on integrating acquired company to STADA Group.

Executing risk assessments, mitigate findings, stabilizing IT operation in target organizations & roll out dedicated global IT services, make the acquisition part of STADA.

Focus is on:

• Synergy between business and IT
• Optimizing IT operation
• Accelerating business growth with implementing global IT systems (e.g., SAP ERP, Success Factors, Track & Trace (T&T), Laboratory Information Management System (LIMS)…)
• Better market position

Ensure One Face to Customer (OF2C) if STADA is already active in the market
